NEW YORK, July 10, 2026 – Proskauer advised Oak Hill Advisors (OHA), as Administrative Agent and as Left Lead Arranger, and a consortium of lenders on a senior secured credit facility to Learfield to support the company’s acquisition by TPG Capital. Learfield is one of the largest at-scale commercial platforms in global sports. Finally Put to Bed? Bankruptcy Court Awards Serta Simmons’ Excluded Lenders $261 Million
Six years after Serta Simmons Bedding (“SSB”) executed its famous, non-ratable uptier liability management transaction, Judge Christopher Lopez of the United States Bankruptcy Court for the Southern District of Texas ruled that the majority, participating lenders breached the Credit Agreement’s pro rata sharing provision and awarded $261 million in damages (plus interest from the transaction date) to the excluded minority lenders.

SEC 2026 Agenda: Key Takeaways for Investment Advisers and Investment Companies
On July 7, 2026, the Securities and Exchange Commission (the “SEC”) published its 2026 Unified Agenda of Regulatory and Deregulatory Actions (the “Reg Flex Agenda”).[i] Twice per year, Federal agencies, including the SEC, must publish an agenda of proposed rulemakings that they anticipate will have a substantial impact on the economy. HMRC Consults on the Tax Treatment of Non-UK Company Distributions
HMRC has published aconsultationon proposals to modernise the UK tax framework for distributions and repayments of capital made by companies to individual and trust shareholders. A key feature of the consultation is a proposal to align the income tax treatment of distributions made by UK and non-UK resident companies by bringing distributions from non-UK resident companies within the statutory distributions regime.
