AI Terms and Conditions

These AI Terms and Conditions (“AI Terms”) govern Customer’s use of Muck Rack’s AI Features provided by Muck Rack, LLC and its affiliates ("Company", "we", "our", or "us") (the “AI Features”) through our media monitoring platform and related services (the "Service"). These terms are expressly incorporated into the Master Services Agreement, Terms of Service, Privacy Policy, or other similar customer agreement, and any other agreements incorporated by reference (as applicable) with Muck Rack (the “Governing Agreement” or "Agreement"). Notwithstanding the foregoing, these terms shall govern in the event of a conflict with any of the other terms in your Governing Agreement but only with respect to the AI Features (defined below). Definitions

The terms used herein with initial capitalized letters shall have the meanings provided herein. Capitalized terms used but not defined herein shall have the meanings assigned to them in the Agreement and references in the Agreement to the “Service(s)” shall include the AI Features.

“AI Features” means any products or features, made available to Customer either as part of the Service or as a standalone product, that utilize artificial intelligence. AI Features include, but are not necessarily limited to: Presspal, Pitchpal, Media Briefing Assistant, Automatically Detect Coverage from Pitches, and Generative Pulse. Additional AI Features and products may be added from time to time and will be subject to these terms and conditions.

“AI Subprocessors” means third party AI providers that Muck Rack leverages to provide the AI Features.

“Input” means prompts, information or data submitted by Customer to Muck Rack through the AI Features for processing.

“Output” means responses generated by the AI Features in response to Customer’s use of the AI Features or Customer’s Input.

Use of AI Features

Customer acknowledges that use of the AI Features is optional. Output is generated by artificial intelligence and should be verified for accuracy by Customer prior to use. Muck Rack makes no warranties about the accuracy, completeness, or reliability of the Output.

License

Muck Rack hereby grants the customer a limited, worldwide, revocable, non-exclusive, non-transferable and sub-licensable license to use the AI Products. The use of the AI Features is subject to the Customer’s compliance with any and all applicable laws and these AI Terms. Customer retains all right, title, and interest in and to Customer Data, Input, and Output.

Customer Responsibility

Customer will ensure that Customer’s use of the AI Features does not violate any applicable law. Customer warrants that Customer has all rights, licenses, and permissions necessary to provide the Input to Muck Rack.

Security Measures

Muck Rack shall implement and maintain reasonable and appropriate security measures designed to protect Customer Data against unauthorized access, alteration, disclosure, or destruction. These security measures shall include, but not be limited to, encryption of Customer Data in transit and at rest, access controls, and secure software development practices.

Subprocessing

Muck Rack may engage AI Subprocessors as necessary to provide the AI Features to Customer. AI Subprocessors may process Customer Data. Muck Rack agrees to, where possible, (i) enter into data protection agreements with each AI Subprocessor; (ii) enable zero data retention where available; and (iii) prohibit each AI Subprocessor from training their own AI models on Customer Data. Disclaimer

Notwithstanding the above, Customer acknowledges that: (i) Customer is solely responsible for any liability arising from the use or reliance on AI-generated outputs; (ii) other customers of Muck Rack providing similar Input to the AI Features may receive the same or similar Output; (iii) due to the nature of artificial intelligence and machine learning, information generated by the AI Features may be incorrect or inaccurate; and (iv) Muck Rack features that include artificial intelligence or machine learning models are not human and are not a substitute for human oversight. Further, Customer acknowledges and agrees that Customer is responsible for reviewing and validating Output for its needs before electing to use Output in its documents or work product. NOTWITHSTANDING ANYTHING TO THE CONTRARY, MUCK RACK DOES NOT REPRESENT OR WARRANT THAT THE OUTPUT WILL BE ACCURATE, COMPLETE, ERROR-FREE, OR FIT FOR A PARTICULAR PURPOSE. Customer assumes sole responsibility and liability for results obtained from the use of the AI Features, including Outputs and for conclusions drawn from such use.

Termination or Suspension

We reserve the right to suspend or terminate access to AI Features (1) for any misuse or breach of these AI Terms; (2) if mandated by law or AI Technology Provider terms; and/or (3) due to changes in third-party service availability or policy.

Modification to these AI Terms

We may update these AI Terms at any time. Continued use of AI Features after such updates to these terms constitutes your agreement to the revised terms.

Order of Preference

In the event of a conflict between these AI Terms and the Governing Agreement, the order of preference will be these AI Terms with respect to the subject matter herein.

Feedback
You may provide your feedback regarding the AI Features to: hello@muckrack.com (“Feedback”). The Feedback may include, but it not limited to, feedback on the performance, features that may be missing, and any bugs encountered during the use of the AI Features. Any Feedback provided, grants Muck Rack a perpetual, irrevocable, non-exclusive, worldwide, fully-paid, sub-licensable, assignable license to incorporate into the Service or otherwise use any Feedback received from the Customer to improve the Services. The Customer irrevocably waives any moral rights in such Feedback pursuant to applicable copyright law. Muck Rack acknowledges that any Feedback is provided on an “as-is” basis with no warranties of any kind.
