UK And European M&A: Predictions For 2024
2023 was a challenging year for mergers and acquisitions (M&A). Volumes of deals and deal sizes were both down due to, amongst other factors, historic levels of inflation, rising interest rates, heightened regulatory scrutiny in many jurisdictions and geopolitical instability. Whilst M&A in the Europe, Middle East and Africa region (EMEA) remained resilient in the first half of 2023, deal activity fell in the second half of the year.

Fraud, Reform And The Registrar: Economic Crime And Corporate Transparency Act 2023
A year and a half after the Economic Crime (Transparency and Enforcement) Act 2022 received Royal Assent, the Economic Crime and Corporate Transparency Act 2023 (Act) came into law on 26 October 2023. Although the Act does contain some amendments to its predecessor in relation to overseas entities, it is more far-reaching than that, with an apparent fundamental emphasis on the reduction of and protection against corporate fraud.

You Say Hello. I Say Goodbye: The DnaNudge Case And Differences Of Opinion On Share Conversions And Other Variations Of Class Rights
Following a recent Court of Appeal decision, investors, portfolio companies and their advisers should be aware that English courts may, on occasion, adopt seemingly strained interpretations of ambiguous or unclear contract terms to give effect to what the court considers to be the outcome most consistent with commercial common sense. Whether such interpretations may constitute overreaching by the courts remains to be seen.

Go Green Or Go Home: ESG's Increasing Impact On M&A In The UK And Europe
Environmental, social and governance (ESG) has become a megatrend in mergers and acquisitions and is here to stay. ESG itself is a wide capture-all definition, with "E" recognised as relating to environmental matters (such as climate change, pollution and use of fossil fuels and renewables). "S" primarily includes social issues such as diversity and inclusion, the gender pay-gap, human rights and modern slavery.

The UK economy has been hit by a series of significant shocks in recent years: a change in the trading relationship with the EU, the fallout from the COVID-19 pandemic, widespread inflation, an increase in global energy prices and rising interest rates. In addition, there has been significant volatility in the crypto markets and, more recently, the bank markets. At the time of writing, it is unclear how long this combination of factors will take to stabilise.
Lessons From Burnford: Investors, Creditors and Recovering Reflective Losses
It is an old rule of English law that the only person who can sue for a wrong done to a company is the company itself. Related to that rule is the principle that an individual shareholder cannot bring a personal claim for a loss suffered by the company, even where that shareholder has personally suffered loss as a result of the company's loss. This is known as the "no reflective loss" principle.
