Delaware Statutory Amendments Provide 'Safe Harbors' For Interested Director, Officer, Controlling Stockholder, and Control Group Transactions
On March 25, 2025, Delaware’s governor, Matt Meyer, signed Senate Substitute 1 to Senate Bill 21, enacting significant changes to the Delaware General Corporation Law (the DGCL).1 The newly-enacted legislation, among other things, provides various safe harbors for acts or transactions involving potential or actual conflicts of interest of directors, officers, controlling stockholders, or members of a control group.

Sun Sunspot group AR3474 has grown over the past several days and is now larger than Earth, sitting near the solar disk’s center. This is a great location to throw coronal mass ejections (CMEs) our way, which could then bring geomagnetic storms and auroras! The region showed an increase in flaring after developing a small delta region (meaning it has the potential to produce powerful flares), although it has since lost this region and returned to a minor magnetic complexity.

Sun Sun activity is low. But our friend the sigmoid, or S-shaped filament, erupted again, producing a bright flare and sending some ejecta into space. And we’ve seen an intricate dance around the sun’s north pole, involving a solar tornado. As described in this article in Science, solar tornados are blisteringly hot and about a thousand times larger than their earthly counterparts. A solar tornado results from the forces in the solar corona flinging a filament around.

Uncategorized September 25 sun activity: Giant erupting prominence Today’s top news: Sun activity today is low at sunspot regions, giving the filaments, prominences, and coronal holes a chance to shine. A giant prominence erupted off the southeast limb (edge) of the sun’s disk. More of its extent was captured with the NOAA GOES SUVI imager because of the wider field of view compared to SDO. Two large coronal holes have appeared on the sun, one on the south pole and one at the east limb (edge).
