Scott Pomeroy
Scott Pomeroy’s Biography
Based in Littleton, Colorado, Scott Pomeroy has spent four decades helping boards and management teams raise capital, close complicated transactions, and rebuild enterprise value. He is a public-company chief executive, capital-markets strategist, and transaction adviser, and his record spans aerospace and drones, healthcare, media, consumer products, and financial services. Chairman and Chief Executive Officer of XTI Aerospace, Inc. (Nasdaq: XTIA) until August 2026, he arrived at that title as he has at several others: first as a capital-raising adviser and then as Interim Chief Financial Officer. Today Scott Pomeroy counsels public and soon-to-be-public companies on strategy, capital structure, market positioning, and engagement with investment bankers and investors.
Financial Discipline as a Starting Point
Scott Pomeroy earned a Bachelor of Business Administration in Accounting with honors from the University of New Mexico in 1984, followed a year later by his Certified Public Accountant certificate. KPMG Peat Marwick took him from auditor to Senior Manager between 1984 and 1992. His accounting and controls background shaped his career: the assignments he was given tended to be the ones where the numbers, capital structure, and operating plan all needed repair.
Lewis Foods Group, a $250 million food-processing group, gave him his first President and Chief Financial Officer title from 1993 to 2000. Acquisitions were negotiated, sales, marketing, and plant operations were restructured, and a long-term manufacturing agreement with The Pillsbury Company was secured. Scott Pomeroy assumed company-wide operating leadership in 1998 and oversaw the group's sale to Diageo in 1999. Between 2000 and 2002, he served as Chief Financial Officer at Eotec Capital, LLC, and in 2002 advised Qwest Communications on the QwestDex divestiture through CEO Partner Group, LLC, covering the financial carve-out, sale terms, and a controls review spanning more than 25 senior finance executives.
Transactions at Scale
Dex Media, Inc. (NYSE: DEX) was the third-largest directory publisher in the United States, carrying approximately $1.6 billion in revenue, and Scott Pomeroy led its finance function. From November 2002 to February 2005, he was Senior Vice President, Finance and Treasurer, managing more than $3 billion of high-yield offerings and more than $3 billion of bank financings, a $1 billion sponsor dividend among them, and contributing to the execution of the company's $1 billion initial public offering. In February 2005, he joined as Chief Financial Officer, where he led investor and analyst engagement that clarified free-cash-flow valuation, tax-shield economics, and the relevant comparable-company framework; the share price rose about 30% during his 14 months. He negotiated the company's sale to R.H. Donnelley and produced an approximately 90% return for the private equity sponsors over a three-year hold. From the divestiture of Qwest through the 2004 IPO to the 2006 merger, Dex Media was, at the time, the second-largest buyout in U.S. corporate history.
Print to Digital
Scott Pomeroy's next chapter was a build. As founding President and Chief Executive Officer of Local Insight Media and The Berry Company, a Welsh, Carson, Anderson & Stowe portfolio company, he ran the business from March 2006 to January 2011. He made it the fifth-largest U.S. directory publisher, with 1,600 employees and approximately $600 million in annual revenue. The company integrated six acquisitions across the United States, Puerto Rico, and the Dominican Republic, evaluated more than 150 digital companies, established four technology partnerships, and carried out a transition from print directories to digital local-media solutions.
A comparable challenge waited in New Zealand. Scott Pomeroy served as Interim Chief Executive Officer of Yellow Pages Group of New Zealand between February 2011 and August 2012, arriving after lenders exchanged approximately NZ$1.5 billion of debt for equity. He shifted an approximately NZ$250 million-revenue business from an 85% print and 15% digital mix to a balanced portfolio, and rebuilt the executive team around a new shareholder group.
Physician Networks
In January 2013, Scott Pomeroy founded Pinnacle Medical Partners, contributed seed capital, raised $3 million in additional equity, and served as Chief Executive Officer until August 2017. Six medical-practice acquisitions covering seven locations and more than 30 providers brought revenue to approximately $12 million. They produced the second-largest independent provider network in Colorado, which he then sold to a healthcare-focused private equity sponsor.
OnPoint Medical Group, the successor organization, retained him as Chief Strategy Officer from August 2017 to February 2020. He helped execute five additional practice acquisitions. The group passed 100 physicians and advanced-practice providers across 15 locations and $35 million in annual revenue, and Scott Pomeroy negotiated a joint venture with a regional hospital system.
Aerospace and Drones
In February 2020, Scott Pomeroy co-founded Gen3 Financial Services, which he led as Chief Executive Officer through July 2022, providing private financing, capital-markets planning, mergers-and-acquisitions support, and interim C-suite leadership to companies across aerospace, software, healthcare, media, and real estate. The XTI Aircraft engagement began there.
He joined XTI Aerospace in July 2022 to lead capital raising, took the Interim Chief Financial Officer seat as the mandate expanded, and was appointed Chairman and Chief Executive Officer in March 2024, serving through August 2026. During that period, the company raised more than $100 million through public and private financings, and he helped lift market capitalization from about $5 million at the outset to $60 million to $70 million. Scott Pomeroy led the strategic pivot and the acquisition of Drone Nerds, adding a scaled commercial and government drone distribution platform, and aligned financing, acquisitions, and operations behind a clearer value-creation thesis.
Service Beyond Business
Scott Pomeroy's board seats have included Local Insight Media and its affiliates (2006 to 2011), the Yellow Pages Association, where he was Director and Treasurer from 2008 to 2011, and Yellow Pages Group of New Zealand (2011 to 2013). He has been a Director of AVX Aircraft Company since 2009. Outside the corporate world, eleven years on the Board of Education at Valor Christian High School included five to six years as Chairman. He operates the Gen3 Foundation, which supports faith-based and family-friendly film, television, and stage productions. He maintains a Donor Advised Fund at the National Christian Foundation that distributes charitable gifts annually. He also mentors younger executives, sharing judgment that came from financings, acquisitions, restructurings, and situations no textbook covers.
Looking Forward
Scott Pomeroy looks for companies whose strategic potential their capitalization, valuation, and investor narrative have not yet caught up to. Private and public capital, debt and structured securities, acquisitions, joint ventures, and reverse-merger alternatives are all within his range. His strength is that he can hold four perspectives at once, those of management, the boardroom, the capital markets, and the operating business, knowing what investors and bankers require and what executives responsible for delivering results are facing. At 65, opening a new professional chapter, Scott Pomeroy directs that experience toward public and soon-to-be-public companies and the executives who will lead them, guided by faith, family, and a belief that credible strategy and honest accountability create lasting value.
