The Recorder - My Turn: Re-open Greenfield and Franklin County
Published: 5/1/2020 1:36:58 PM I am the owner of two commercial properties in Greenfield with a number of small business tenants. Recently walking through downtown Greenfield, it reminded me of a “Twilight Zone” episode: Stores empty, businesses closed, streets empty except for a few people walking around wearing face masks. It’s an all too familiar scene that’s taking place in many parts of the USA and the world.
Cryptocurrencies moving mainstream - Regulation, hacking and the increasing use of Insurance March 2020 | Lexology
Many may still think of cryptocurrencies (effectively virtual currencies, largely unregulated and not sponsored or controlled by any national Governments) as the Wild West and a currency ecosystem largely inhabited by criminals and linked closely to the Dark web, money laundering and tax evasion. True – criminals do seem to enjoy the relative anonymity of conducting deals and purchasing illicit goods using Bitcoin, Ripple, Ether and several other popular cryptocurrencies.
Cross-border Fund Distribution Rules: Welcome Changes in the Pipeline | Lexology
Important new EU developments relating to the cross-border distribution of investment funds under the Capital Markets Union ("CMU") are imminent. The EU is about to finalise new rules to facilitate and encourage cross-border fund distribution by removing regulatory barriers and improving cost efficiency. It is also intended to allow EU AIFMs to test market interest in an EU jurisdiction before incurring the expense of passporting an AIF into that jurisdiction.
W&I Insurance - more judicial guidance on fair disclosure, quantifying loss and contractual notice issues June 2019 | Lexology
In a thought provoking case for W&I Insurers when considering policy response, the High Court has: given further views on the meaning of “fair disclosure”; held that a breach of Warranty claim pursued in legal proceedings did not relate back to the Warranty Claim Notice sent per the transaction documentation and so the Warranty claim was barred as being late; held there was substantial loss to a Seller on a Warranty claim, that the expert accountancy evidence before it was...

Morrisons Supermarket data breach case- important issues for the scope of Cyber insurers’ exposure
The High Court has handed down liability judgment1 in a claim by 5000+ staff against the supermarket chain Morrisons following a data breach. The case raises the important question of whether an employer is vicariously liable under the Data Protection Act for the criminal actions of a rogue employee who deliberately effected the breach.
To exclude or not to exclude that is the question
In Crowden v QBE Insurance (Europe) Ltd1, the High Court has given important guidance on how insurance policy exclusion clauses should be interpreted. The Court's decision will be welcomed by Insurers generally. Background and the claim against the Insurer The Claimants invested in (i) Keydata bonds and (ii) securities linked to Lehman Brothers, following investment advice given by a financial adviser (the Insured).
Warranty and Indemnity Insurance - bridging the gap between Buyers’ and Sellers’ risk appetites
In this first in a series of articles on the W&I insurance market, Stephen Reilly, Partner, and Jason Bird, Trainee, overview the market for this increasingly used insurance product which oils the wheels of M&A transactions around the world. W&I insurance has come a long way in the last 5 -10 years, from what was previously regarded as a relatively unknown esoteric product moving into the mainstream thinking of and use by M&A lawyers, advisers and their clients.
Falling down at "the most basic step" do not rely on the Court (or the other side) to save you from your errors!
Claim struck out as the Court maintains its strict approach to defective service of Claim Forms In the recent decision in Higgins & Others [2017] EWHC 2190 (Ch), it was shown once again that, despite increased leniency for errors of civil procedure during the of proceedings, the Courts will still take a strict approach to the defective service of Claim Forms at the of proceedings.
The increasing use of ADR in HMRC disputes and getting your legal costs back from the Taxman
Beale & Company are frequently instructed in tax litigation related matters. Our clients are often surprised to find out that (i) ADR is available to settle tax disputes with HMRC and (ii) even if a taxpayer unsuccessfully challenges a tax assessment before the First-tier Tribunal, they are not generally entitled to recover their legal costs of doing so from HMRC.
Putting digital strategy to work | ANZ BlueNotes
When it comes to an effective digital transformation all the planning in the world cannot help an organisation which fails to effectively put it into action. Planning is vital but execution is equally important. This is the fourth and final article in our digital strategy series outlining the approach Strategy& (PwC's strategy consulting business) uses to define and implement digital strategies using superannuation as a case study.
Digital transformation in four (not so) easy steps: Part One
It's true. This internet thing looks like it really might catch on. It's a revolution, these meme-things tell me. Infographics cry about skyrocketing take-up rates and omni-channel proliferation. Our competitors have Chief Digital Officers, Disruptive Innovation Evangelists and UX/CX Champions. To become “digital", we need a few of those too – ASAP and preferably with cool call-signs preceded by hashtags and @ symbols. Sounds easy. Except it isn't.
