SEC Completes its Exit from 14a-8 Shareholder Proposal Debates
WHAT HAPPENED On August 14, 2026, the SEC Division of Corporation Finance released a statement announcing that it will no longer respond to any no-action letter requests to exclude Rule 14a-8 shareholder proposals, without exception. Although it reserved the ability to change its mind, the policy takes effect immediately, unless and until the staff announces otherwise. This modifies the Division’s November 17, 2025 announcement.

Pricing Dynamics in the US Hemp Market: A Vertical Price Transmission Analysis of the Hemp Value Chain
1 Introduction Before the prohibition of the act of cultivating industrial hemp (Cannabis Sativa) in 1970, the hemp plant was renowned for the economic value of its fiber in the cordage industry (Johnson 2019). Hemp fiber was the solution to the fiber shortage when World War II disrupted the US's imported abaca and jute fiber supply chains.

2024 BMW i4 M50: I Like It, I Don’t Love It
From the early days of BMW M winning the Nürburgring 24 Hours race just a year after its inception, there’s always been one north star for the brand. To build the “Ultimate Driving Machine.” Five decades later, that mission remains true. Whatever flavor of sporty you desire, BMW has a corresponding number to append to the letter M. The i4 M50 is somewhat of a misfit in BMW’s lineup. It’s a BMW M Performance variant, meaning it’s one level below the track-focused M cars.
5 Thoughts About the 2024 Model 3 Refresh
Despite already strong sales figures, the Tesla Model 3 emerged in 2024 with a significant refresh dubbed the “Highland,” which aims to enhance the look and feel of the company’s smallest sedan. As an owner of a 2023 model, I’m aware of areas where the Model 3 could improve. Fortunately, Tesla has addressed many of them for owners of the refreshed 2024 model. Here’s a comprehensive overview of this new model’s enhancements from a previous-generation owner’s perspective.
The 2024 Toyota Prius Is Undeniably Cool
The car you purchase says a lot about you. Maybe you dream of driving the Pacific Coast Highway with the top down in a Mazda MX-5 Miata. Maybe you have dreams of overlanding your Toyota Tacoma with a rooftop tent you’ll only use once a year. Or, perhaps, you yearn to hustle a Nissan Altima down the highway with the check engine light on blast and your bumper half falling off. Whatever makes you happy. For those who don’t care what they drive, there has always been the trusty Toyota Prius.
2024 Fiat 500e: No You Don’t Need That Much Range
How many miles do you think you drive per day? 50? 100? The average driver vastly overestimates how many miles they drive. The Federal Highway Administration (FHWA) data from 2021 indicates that motorists in the United States drive an average of 37 miles daily. Yet, we continue to ask for 300-plus miles of range from electric vehicles. If we give up our fixation on extended ranges, we immediately solve two of the biggest problems EVs face: It turns out that bigger batteries cost more and weigh more.
2024 Toyota GR Corolla at the Bridgestone Winter Driving School
I grew up in the Chicagoland suburbs, an area familiar with harsh, long winters. But while most people in the area spent their winter nights indoors, avoiding the bitter cold, my friends and I would always be on the prowl. We were searching for those sleepy abandoned parking lots freshly dusted with snow. In our eyes, these were the ones bursting with opportunity — the ones asking for a car, a driver, and some fun.

Living With the 2023 Ford Bronco Sport Heritage Limited Edition Life is full of tough decisions: pizza or tacos; cats or dogs. Previously, the choice was always easy when picking a vehicle to traverse rocky or muddy terrain. Body-on-frame SUVs have always been the default choice for ruggedness and off-road prowess. But Ford makes this decision a bit tougher. Introducing the 2023 Ford Bronco Sport Heritage Limited Edition What’s It Like to Live With a 2023 Ford Bronco Sport Heritage Limited Edition?
The 2024 Alfa Romeo Stelvio Competizione Is No Quadrifoglio
I love Alfas. There’s something theatrical about their presence. I’m unsure if that’s because they’re somewhat of a rarity or because the Italians seem to put emotion atop anything else. Maybe a bit of both. The Stelvio was designed to radiate elegance and drama from its inception. Every curve, every line, thoughtfully drawn. Even its name is pulled from the highest paved mountain pass in the eastern Alps. With every bend in the road, you can almost feel the passion baked into the driving experience.

As automobile technology evolves, drivers must weather the ups and downs of software updates
In college, I worked for the grocery chain Trader Joe’s. Years later, the Hawaiian shirts left my closet and I no longer got an employee discount on my beloved cookie-butter ice cream, but one thing has stuck with me. Kaizen. It is a Japanese business philosophy that TJ’s adopted and is something I try to apply to my life. What does Kaizen mean? Kaizen means constant incremental improvement. It is a simple enough idea. Daily minor improvements lead to more significant performance improvements overall.

The Electric Vehicle Nice List: 10 EV Advantages
2023 is well into its third act, and I’m preparing for my yearly holiday pilgrimage. Presents are getting wrapped, clothes packed, and the car is getting fueled up to make it from Denver to Chicago. However, this year is a bit different for me. The 1,000-mile journey will be the same, but for the first time, rather than topping off my tank, I’ll be plugging in. Look around, and you’ll spot the growing segment of electric vehicles (EVs) on the road.
2024 Hyundai Kona: The SUV You Actually Need
Hyundai claims the Kona is “the mighty SUV that does it all.” Based on increasing sales figures from its inception in 2018, the public seems to agree. This year, the South Korean automaker seeks to make its already great-selling vehicle even better by addressing some key shortcomings from the previous generation.

Emergency Bylaws – Considerations in Light of the COVID-19 Pandemic and Beyond | JD Supra
Among the many previously hypothetical concerns for companies that became actualized, or threatened to become actualized, during the height of the COVID-19 pandemic was the prospect of multiple members of the board or senior management becoming incapacitated due to serious illness. With an average age of S&P 500 directors hovering around 63 according to recent surveys, many public company directors fall within the higher risk age ranges for more severe COVID-19 complications.
Staff Issues New Guidance on Excluding Shareholder Proposals
On November 1, 2017, the staff of the Division of Corporation Finance issued Staff Legal Bulletin No. 14I (SLB 14I), providing guidance on the excludability of shareholder proposals under Exchange Act Rules 14a-8(i)(7) (proposals relating to the “ordinary business” of a company) and 14a-8(i)(5) (proposals that are not of “economic relevance” to a company), as well as other issues arising under Rule 14a-8.
