The Federal Trade Commission (FTC) recently announced that the reporting thresholds under Section 7A of the Clayton Act, known as the Hart-Scott-Rodino (HSR) Antitrust Improvements Act of 1976 (the Act), will be increased. Certain transactions that meet the Act’s jurisdictional thresholds require parties to notify the FTC and the Antitrust Division of the U.S. Department of Justice (DOJ) of the transaction and observe a statutory waiting period before consummating those transactions.

On October 25, 2021, the U.S. Federal Trade Commission (FTC) released its “Statement on Use of Prior Approval Provisions in Merger Orders” (the Statement). The Statement announces two material changes in the agency’s merger enforcement program.
