Transfer of criminal liability in case of a merger | Lexology

In a landmark ruling of 25 November 2020 (No.18-86.955), the criminal division of the court of cassation made an important reversal of case law in the case of a merger. Henceforth, the absorbing company can be criminally sentenced for acts committed by the absorbed company prior to the merger. The court explicitly refused to apply the fundamental principle, nulla poene sine culpa.
