In Short The Situation: The Growth Enterprise Market (the "GEM") listing activities in Hong Kong have been declining since 2019, and there was no new listed issuer on the GEM in 2022. The Development: To encourage and facilitate the listings of small and medium-sized enterprises, the Stock Exchange of Hong Kong Limited (the "HKEx") decided to implement the GEM listing reforms with effect from 1 January 2024.

In Short The Situation: Certain provisions of the current Codes on Takeovers and Mergers and Share Buybacks of Hong Kong (the "Codes") may cause confusion to companies and relevant stakeholders in complying with the Codes. There are also various existing practices which are not codified. In May 2023, the Hong Kong Securities and Futures Commission (the "SFC") proposed a wide range of amendments to the Codes.
