The SEC’s New Cybersecurity Disclosure Rules

Aug 03, 2023 |
By Bill Hayes Verified, Erin Essenmacher, John Borneman, Kathryn Neel
| Directors & Boards Verified
Opinion: The commission’s new regulations serve as a guidepost to best practices rather than a dictate of prescribed behavior. All public company directors should be aware of the new requirements on cybersecurity disclosure the SEC adopted last week. To its credit, the SEC exercised considerable restraint in ensuring that its new rules are better seen as fostering good practices rather than dictating corporate behavior.

Keeping a board current means monitoring valuable skill sets and having difficult conversations, not eyeing the clock. The role of the board is more important — and complex — than ever. In many ways, the board is the tip of the spear in the battle against the disruptive forces that impact business more broadly — increased competitive risk, the rise of emerging technologies, and social and demographic shifts that impact everything from our customer base to brand identity to how we retain talent.

Abstract This dialogue between John Borneman and Richard Ashby Wilson examines several of the key questions for law and politics that have come to the fore since the end of the Cold War. Beginning with Borneman's contributions over the last three decades, in which he elaborates the concepts of accountability, care, and affect, both authors then engage with how these issues emerge in their own research in different locales.

Constant cyber threats have captured the attention of boards of directors across the country, with 88% of them now viewing cyber incidents as a business risk, according to the 2022 Gartner Board of Directors Survey.

Questions to ask before action is taken. Most who perform statistical analyses that guide organizations to solve problems do not have advanced degrees in statistics. We’ve attended classes at university, engaged in varying levels of Six Sigma training, or conducted self-study. But I think it is safe to say we all have learned that statistically evaluating a set of data is complicated and rife with uncertainty.

First Principles of Executive Pay: Setting Effective Performance Goals

Mar 04, 2019 |

Nearly all companies have the same philosophy for their executive compensation plans. The goal is to create incentives that drive the creation of value for shareholders and then align the pay for the executives with their performance against goals that will achieve this objective. While this ideal of “pay for performance” sounds simple in principle, creating the right calibration can be very challenging in practice, as many members of board compensation committees are painfully aware.

LAKE FOREST — Play at the BMW Championship has been suspended for a second time Sunday. Officials pulled the players off of Conway Farms Golf Club at 2:28 p.m. when another storm passed through Lake Forest. The tournament’s official Twitter feed urged fans to stay tuned for updates. Twenty-four of the field’s 70 players have yet to begin their fourth rounds. Any doubts over a Monday finish in this, the third of four FedEx Cup playoff events, were erased with the latest delay.

Officials have announced that the BMW Championship will resume at 1:30 p.m. Fourth-round play had been suspended at 10 a.m. because of steady rains that caused pooling on the greens and in the fairways. About half of the 70-player field was already on the course, and two groups had finished. Tournament officials said in a news release that all Sunday tickets and Any Day tickets would be honored Sunday, even if fans left the grounds during the weather delay.

BMW Championship at Conway Farms

LAKE FOREST — Steve Stricker did something he almost never does — pick a number. The Wisconsin native didn’t hit his goal of 8-under 63 Saturday, but he did give himself a chance to win the BMW Championship and perhaps, the FedEx Cup. Fueled by an eagle on the par-4 15th, Stricker closed with a 31 on the back nine at Conway Farms Golf Club to post a 7-under 64. That number — second only to Matt Kuchar’s 61 Saturday — put him at 12 under, just one shot behind Jim Furyk.

So you know all about Jim Furyk’s record-setting 59 at Conway Farms Golf Club Friday. Here are three things you should look for as the BMW Championship weekend begins Saturday. Woods walked off the 18th hole at Conway Farms Golf Club Friday believing he had carded a 1-under 70 in the second round of the BMW Championship. Not so fast. Woods was assessed a two-shot penalty for an incident that occurred on the first hole when he removed a loose impediment that was next to his ball.
