Chancery Addresses Stockholder Inspection Rights and Personal Jurisdiction

July 30, 2026 To embed, copy and paste the code into your website or blog: California statutory law provides certain inspection rights to stockholders of corporations with their principal place of business in California. Prior Delaware authority, JUUL Labs, Inc. v. Grove, 238 A.3d 904 (Del. Ch. 2020), addressed these statutory rights and held that Delaware law governs stockholder inspection rights for a Delaware corporation under the internal affairs doctrine.

Chancery Invalidates Officer-Manager Removal in the LLC Context | JD Supra

This decision arises out of a control dispute over a Delaware LLC. The LLC had a three-member managing board: two owed their seats to holding officer roles; the third was the company's founder and largest owner. A voting agreement required the two officers to vote in their board capacities "in the same manner" as the founder. The founder attempted to remove the officers through a written consent of the managing board. The Court of Chancery, however, declared the removal ineffective.
