The bonus, revealed in the Louisville, Kentucky, company's proxy statement filed late June 18, helped push Carr's pay to $4.98 million for the 2026 fiscal year ended April 30.

Of 104 U.S. public company directors surveyed recently by Corporate Board Member and Diligent Institute, 49% said they heard of directors using publicly available or consumer-facing AI tools for board work rather than company-approved platforms.
