What are the risks of vendor loans and how can they be mitigated?
While vendor loans can unlock value and enable deals that might otherwise fall through, they also introduce a level of risk for the seller. Understanding those risks is an important part of structuring a vendor loan. In this article, we explore the key risks involved, how they can be mitigated, and some practical examples of how vendor loans are used in real transactions. For an introduction to vendor loans, you can read our first blog in our vendor loans series here.
How are vendor loans structured and what are the tax implications?
Vendor loans can be a useful tool when structuring the sale of a business, particularly where there is a gap between the agreed value of the company and the funding available to the buyer. While they can help deals proceed that might otherwise stall, it’s important to understand both how they are structured and the tax implications involved.
An introduction to vendor loans: What are they and why do they matter?
When a business changes hands, be that through a Management Buyout (MBO), an Employee Ownership Trust (EOT), or a small to medium-sized transaction, funding the change in ownership can sometimes be a challenge. A possible solution to this is a ‘vendor loan’. In this article, we explain what vendor loans are, why they are used, and the benefits they offer. We also explore how they compare to other financing solutions, and the ways they can support sellers and buyers during a business transition.

AWS for Industries Healthcare organizations worldwide are rapidly adopting AI to improve patient outcomes and operational efficiency. Sam Altman is trying to sell OpenAI on the cheap... to himself
Sam Altman is currently trying to sell OpenAI to himself at a lowball price. It is a bit technical, so he may get away with it. I'm no journalist but it makes me angry, so here is a full explanation, originally posted to twitter. Yesterday Elon Musk offered $100bn for OpenAI. Altman tweeted a dismissal, insulting twitter in the process. But that’s fine, right? It’s it Altman’s job to decide on takeover offers? No, not really. OpenAI is not a company. It's a company owned by a non-profit.
What is Lean Six Sigma Certification: Veteran Eddie Utuk’s Story of Continuous Improvement | Continuing Education | UC San Diego Division of Extended Studies
By Nathan Young In today's competitive market, individuals and organizations are constantly seeking ways to enhance their efficiency and gain an edge over their competition. One powerful tool that has gained prominence in recent years is a structured process improvement approach called Lean Six Sigma. Lean Six Sigma combines two popular methodologies: Lean, which focuses on reducing waste in processes, and Six Sigma, which aims to eliminate defects and enhance quality of the output.

Nathan Young: My campaign to see Deaf swimmers achieve equality in the sporting world
Although there have been many negative experiences in my sporting life as a swimmer who is deaf, there has – with the right support – been a tremendous amount of positives. There is so much support out there available but unfortunately it’s not always easy to access. It seems so long ago since I last wrote for Limping Chicken and so much has happened since.

Isolated Hypoglossal Neuropathy due to Cervical Spondylosis Mimicking Lingual Angioedema
A woman in her 80s presented to the emergency department with a 4-month history of “tongue swelling,” mild drooling, difficulty in swallowing, and slurred speech that worsened during 1 day. Asymmetric lingual angioedema predominantly of the right side of the tongue secondary to lisinopril was suspected. The patient was treated with diphenhydramine, dexamethasone, famotidine, and tranexamic acid, then admitted to the hospital for observation. Lisinopril was discontinued after 4 years of treatment.
Day 199: slick sprouts
I hardly recognise myself these days; a once gemmiferaphobe now turned lover. I’ll not bore you with stories of the tantrums thrown and tears shed on Christmas Day as a child - when I had to force down the one compulsory sprout of the year if I wanted to get extra helpings of sausage and bacon rolls - but I did genuinely really dislike them.
fundraising update & new target
UPDATE: I just want to say a huge thank you to everyone who has supported this fundraiser. Whether you’ve donated or interacted kindly with my posts across Twitter and Instagram, it’s truly appreciated and I think you’re all just wonderful. We (that includes all of you following!) reached the £2,000 target before even hitting the halfway point of this cookalong, so I think it makes sense to set a new target.
You can now apply to EA Funds anytime! (LTFF & EAIF only)
"It's hard to find great grants" seems different than "It's hard to find grants we really like". I would expect that most grantmakers (including ones with different perspectives) would agree with this and would find it hard to spend money in useful ways (e.g., I suspect that Nuño might say something similar if he were running the LTFF, though not sure). So while I think your framing is overall slightly more accurate, I feel like it's okay to phrase it the way I did.
A Review of Joshua Walters' Hip-Hop Haggadah · Jewschool
Guest post by Nathan Young. I listened to this podcast several times. I like hearing stories. I sometimes want to learn to get better at writing them. The podcast opened with the speaker telling a story about learning to tell stories on the radio. It went all over the place. When he said that he was on the basketball court, I assumed he was playing a game, it seems to be that it was a creative fair or exhibition. I like podcasts. Some divert from the formula and tell stories.
Canadian Art Spring 2021: Frequencies
Spring 2021: Frequencies Skip to content Current Issue:Spring 2021 Available from March 15 to June 14, 2021 This issue came together during the second wave of the coronavirus pandemic, at a time when separation has become a routine, although not necessarily pleasurable, experience. Lockdowns in many parts of the country have meant attuning to different ways of engaging with art, as gallery visits are restricted and art spaces offer programming online.
AMA: Tom Chivers, science writer, science editor at UnHerd
Hi everyone! I'm Tom Chivers, and I'll be doing an AMA here. I plan to start answering questions on Wednesday 17 March at 9am UK: I reckon I can comfortably spend three hours doing it, and if I can't get through all the questions, I'll try to find extra time. Who I am: a science writer, and the science editor at UnHerd.com.
funding for a cause
365 Days of Nigella really began as a personal journey; a coping mechanism for dealing with my anxiety, that perhaps only I (and my household) would benefit from in the long run - although I do hope you find some pleasure in following it too. While it still remains so, I now realise there is also an opportunity to share a bigger story by raising awareness of an issue that is far too rife in our country, and indeed the world. I hate food waste.

Letter: We should be more aware of those in need
After the holidays is the hardest time for people who are struggling and perhaps having suicidal thoughts. I think that we should try to be more aware of people in general because they could be having a hard time. Comment on this story A few ways to do this are by asking people how they are doing, and if they say they're fine to ask how they're really doing and take the time to really listen to them. Another is having them do things that make them happy, like recreational activities.
Easiest Investments for the New Investor!
Investing can seem intimidating should you be new to finance or have minimal exposure. Certainly as with anything, it takes time to learn and understand the inner workings. However, the difference with investing is you need it to retire, unless you plan on starting a business, then traditional investing is just a piece of your overall portfolio. Most individuals that are new to the market ask similar questions that include what to invest in and how to invest.
An Open Letter To Judge Roy Moore
To Judge Roy Moore, do you hear that? I mean, do you hear the celebrations, love, and cheers from same-sex couples finally being allowed to marry each other in Alabama? These couples can now breathe easier if something happened to their partner, or while dealing with child custody issues, or saving money while doing taxes. Indeed, the time for celebration and love in Alabama is now here! And you tried to stop it with a last minute court order while I was watching The Walking Dead Sunday night.
Confessions From A Former Delivery Driver
Lots of people have complained because UPS and FedEx were late on their Christmas deliveries. UPS, FedEx, and the US Postal Service have blamed the late deliveries on the huge volume and bad weather. FedEx is projected to handle 275 million shipments and was at almost 100% capacity. UPS is projected to deliver around more than 132 million packages. And I loved how the Postal Service had some of their delivery drivers out on Christmas Day, that is not right.
Crowdsourcing Mornings: Help Build The Statue Of Liberty Museum
This is Crowdsourcing Mornings! This post takes place every weekday morning and highlights one crowdsourcing project I liked from Kickstarter, Indiegogo, or other crowdsourcing websites. The Statue of Liberty-Ellis Island Foundation, Campaign Chairperson Diane von Furstenberg, and the National Park Service are in the process of creating a new museum on Liberty Island, but we need your help to add the finishing touches.
My Experience On My “Special Project” Trips To Boston And New York City
Before this post begins, these two trips are all part of a very “special project” that I am a part of. I cannot talk about what this “special project” is about, for now. But trust me, when I am allowed to reveal what this “special project” is all about, many people are going to be happy! So, I got to take two trips this Summer. This was the first time I took a trip in an airplane in over 20 years, so a lot has changed. The first trip was to Boston, MA.
My Thoughts About The Tragic Passing Of Anthony Bourdain
When I woke up this morning, I looked on my phone and saw the tragic news. At first, I really could not believe it. Because I just woke up, but when I turned on the TV and saw the local news was talking about it, then it became real.  Anthony Bourdain killed himself in a suicide. I mean, he had a dream job many of us including myself would love to do! And he really showed no signs of himself being depressed while out in the public or on TV.  Anthony Bourdain became one of the top...

3 Alternatives For People Who Are Trying to Cut Cable - Millennials 365
According to nbcnews.com, the average cable bill is approximately $99 per month. Cable companies have had a hold on the television industry for years, but as times are changing, cable companies are losing their firm grasp on the consumer. With the evolution of the Internet, consumption of information is coming from alternative sources other than the traditional television.
Soccer in the United States Needs More to Become an NFL Tier League - Millennials 365
As the FIFA World Cup rapidly approaches in 2018 and the Major League Playoffs are only a short distant away, soccer in the United States is gaining more attention from the natural progression of the schedule. MLS is a rapidly growing league and there are projected to be an additional two teams added in the near future. Soccer is growing but that doesn’t mean it will be a top tier league in this country. First and probably the most obvious is the competition globally.
Despite the Geo Political Climate, You Are in Control - Millennials 365
This article may be short, but it needs to be said. No matter what is happening in the world around us, you are in control. Many people get worked up over the fact that we have a controversial president, and rightly so. However, remember that you still have to go to work, eat, drive, etc. No matter who is in power, we have more control than we realize. One word that comes to mind is perspective. Keep your life in perspective because you are more in control than you think.

To share or not to share in the emerging era of big data: perspectives from fish telemetry researchers on data sharing
The potential for telemetry data to answer complex questions about aquatic animals and their interactions with the environment is limited by the capacity to store, manage, and access data across the research community. Large telemetry networks and databases exist, but are limited by the actions of researchers to share their telemetry data.
The whole package: Local companies RIVALS and Merchline help brand global artists
It’s been a good year in merchandise. Across the globe this holiday, fans of singer-actress Zooey Deschanel and songwriter-producer M. Ward (collectively known as She & Him) used limited-edition rolling pins to make cookies adorned with insignias of the band and even decked the halls with She & Him stockings celebrating the duo’s new Christmas Party album. In August, Thirty Seconds to Mars fans attended the band’s Camp Mars mini-festival in Malibu and left adorned in specially designed merch.
Crowdsourcing Weekends: Sandbox Home, Hendo Hoverboards, The Canal
This is Crowdsourcing Weekends on a Monday! This post highlights three different crowdsourcing projects I liked from Kickstarter, Indiegogo, or other crowdsourcing websites. SandboxHome is the Home Security product for the 21st Century! It redefines home security as we know it. It is not just some door and window tags and motion sensors, a key pad and a yard sign. And not just a standalone security camera connected to the internet. But an advanced, full-featured and complete system.
